COMMERCIAL LICENSE

for REEID TRANSLATE (Premium Edition)

WordPress Translation and Publishing Plugin

Licensor: REEID Global Content Engineering Co. Ltd. (“REEID GCE”)
Licensed Software: REEID Translate (Premium) WordPress plugin, including any related documentation and assets provided by REEID GCE.

1. Grant of License

REEID GCE grants Licensee a non-exclusive, non-transferable, perpetual (lifetime) license to install and use the Licensed Software on one (1) production WordPress site (“Licensed Site”), subject to this Agreement.

2. Scope of Use

Licensee may:

  • Install and activate on one production site (e.g., example.com).
  • Install and activate on reasonable, non-public staging/development environments for that production site (e.g., staging.example.com, dev.example.com, localhost, *.test).
  • Replace the Licensed Site (domain change) up to two (2) times per rolling 12-month period to accommodate rebrands or migrations (deactivation on the prior site is required).
  • Use the Software in accordance with applicable WordPress/core, theme, and plugin requirements.

3. Updates & Support

  • Updates Term: Licensee receives free updates for one (1) year from purchase (“Update Term”). After the Update Term, the Software continues to function; Licensee may renew to regain access to updates.
  • Support: Email support is included during the Update Term and is available with any renewal.
  • Updates may include new features, improvements, compatibility fixes, and security patches released during an active Update Term.

4. Restrictions

Licensee shall not:

  • Redistribute, sublicense, rent, lease, lend, or share the Software or license key with third parties.
  • Reverse engineer, decompile, or disassemble the Software, except where permitted by applicable law.
  • Remove or alter copyright, trademark, or attribution notices.
  • Circumvent or attempt to circumvent license verification mechanisms or usage controls.

5. Fees & Payment

  • Licensee has paid the applicable one-time license fee.
  • All fees are non-refundable except as required by law.
  • Renewals (if purchased) extend update and support access for the stated renewal term; the perpetual right to use the already-obtained version remains.

6. Term & Termination

  • The license is perpetual unless terminated under this Section.
  • REEID GCE may terminate this Agreement if Licensee materially breaches it and fails to cure within 10 days of notice. Upon termination, Licensee must cease use and remove the Software from all installations.
  • Termination does not entitle Licensee to any refund.

7. Warranty Disclaimer

THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REEID GCE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, EVEN IF ADVISED OF THE POSSIBILITY. IN NO EVENT SHALL REEID GCE’S AGGREGATE LIABILITY EXCEED THE AMOUNT PAID FOR THE LICENSE.

9. License Key & Verification

  • A valid license key may be required to activate Premium features, updates, and support.
  • REEID GCE may verify license status (including the licensed domain) to enable Premium functionality and updates.
  • The Software may display license status in the WordPress admin.

10. API, Privacy & Telemetry (Admin-Only)

  • The Premium edition may make admin-initiated requests to api.reeid.com for license validation and usage/limits displayed on the Stat tab. These requests may include a site token, timestamp, nonce, and an HMAC signature; no post content is sent for status checks.
  • Translation features may send selected content to the configured translation provider (e.g., OpenAI) when you initiate a translation. See the provider’s terms and privacy policy.
  • No telemetry is sent from the public front end. You can avoid api.reeid.com calls by not activating Premium or not using the Stat view.

11. Service Limits & Availability

  • Certain features may be subject to rate limits (e.g., requests per minute) or daily allowances as shown in the Stat tab or license plan. If a limit is reached, operations may temporarily fail until the window resets; manual retry is required.
  • REEID GCE does not guarantee uninterrupted availability of external services.

12. Export Control & Sanctions

Licensee represents that it is not located in, under the control of, or a national or resident of any country or entity subject to applicable embargoes or sanctions and will not use the Software in violation of export control laws.

13. Governing Law & Dispute Resolution

This Agreement is governed by the laws of Thailand, without regard to conflict-of-laws principles. Any dispute shall be resolved by final and binding arbitration under the Rules of the International Chamber of Commerce (ICC). The seat of arbitration is Bangkok, Thailand, and the proceedings shall be conducted in English.

14. Assignment

Licensee may not assign or transfer this Agreement without REEID GCE’s prior written consent. Any unauthorized assignment is void.

15. Entire Agreement; Severability; No Waiver

This Agreement constitutes the entire agreement regarding the Software and supersedes all prior or contemporaneous agreements or communications. If any provision is held unenforceable, the remaining provisions remain in full force. No failure or delay by REEID GCE in exercising any right constitutes a waiver.

By installing, activating, or using the Licensed Software, the Licensee agrees to this Agreement.
