Licensor: REEID Global Content Engineering Co. Ltd. (“REEID”, “REEID GCE”, “we”, “us”)
Licensed Software: REEID Translate Pro WordPress plugin, including related files, documentation, assets, updates, and optional connected services provided by REEID GCE.

1. Grant of License

REEID GCE grants the Licensee a non-exclusive, non-transferable license to install and use REEID Translate Pro on one licensed production WordPress site, subject to this Agreement and the license plan purchased.

The license permits use of the plugin on the licensed site after purchase. Access to updates, support, Cloud Assist availability, usage limits, and connected services may depend on the active license term, product plan, and service status.

2. Scope of Use

Licensee may:

• Install and activate REEID Translate Pro on one licensed production WordPress site.
• Use the plugin to translate eligible WordPress content, including supported pages, posts, products, Gutenberg content, Classic Editor content, Elementor content, WooCommerce product strings, and other supported workflows.
• Use the plugin on one licensed production WordPress site. Staging, development, local, or test environments may require separate activation, separate approval, or support from the license system.
• Deactivate the license on one site and reactivate it on another site where domain replacement is allowed by the licensing system or approved by REEID GCE.
• Use the plugin together with supported WordPress themes, builders, plugins, and translation providers, subject to compatibility and technical limitations.

3. Updates, Support, and Continued Use

• Unless stated otherwise at purchase, the license includes access to plugin updates and support for one year from the purchase date.
• After the update and support term ends, the already installed plugin may continue to function on the licensed site, but access to new updates, compatibility improvements, security fixes, support, and certain connected services may require renewal.
• Renewal extends update and support access for the renewal term. It does not create ownership of the software.
• REEID GCE may release improvements, compatibility fixes, security updates, UI changes, builder support updates, Cloud Assist improvements, or new features during an active update term.
• Support is provided for REEID Translate Pro itself. Support does not include custom development, full website repair, third-party plugin/theme debugging outside reasonable compatibility checks, or manual translation review unless separately agreed.

4. Translation Modes

REEID Translate Pro may provide more than one translation mode. Available modes can depend on plugin version, license status, configuration, and service availability.

• Local BYOK mode: The Licensee uses their own OpenAI API key. The key is stored and used on the Licensee’s WordPress site. By default, REEID GCE does not receive or store the Licensee’s OpenAI API key in Local BYOK mode.
• Cloud Assist mode: Translation requests may be routed through REEID Cloud Assist services, which may provide server-side workflow assistance, cache reuse, usage controls, and other cloud-supported functionality.
• The Licensee is responsible for selecting the appropriate mode for their privacy, compliance, cost, and operational requirements.

5. Cloud Assist and Cache Reuse

Cloud Assist may include translation cache reuse designed to reduce unnecessary repeated translation work. When the same or substantially unchanged content is translated again, Cloud Assist may reuse previous translation results where technically appropriate.

• Cache reuse may reduce repeated token usage when content has not changed.
• Small edits may still require some token usage for changed text, instructions, language context, glossary context, or formatting changes.
• Formatting changes, HTML structure changes, editor changes, builder changes, prompt changes, glossary changes, or different content splitting may affect cache reuse.
• Cache reuse does not guarantee zero token usage on repeated translations.
• The purpose of cache reuse is to avoid paying again for unchanged content where safe and technically possible.
• REEID GCE may change, improve, limit, disable, or adjust cache behavior to protect quality, security, system stability, or service availability.

6. License Key and Verification

• A valid license key may be required to activate Pro features, Cloud Assist features, updates, support, usage limits, and license-specific functionality.
• The plugin may contact REEID servers to validate license status, licensed domain, activation count, plan limits, renewal status, usage availability, or service eligibility.
• The plugin may display license status, activation status, service status, usage limits, or related notices in the WordPress admin area.
• Attempting to bypass license validation, remove usage controls, spoof domains, share a license key, or interfere with license verification is prohibited.

7. API Requests, Privacy, and Data Handling

• License validation and status checks may send technical request data to REEID servers, such as site URL/domain, license key or license token, timestamps, signatures, nonce values, plugin version, and relevant status information.
• Local BYOK mode is designed so the Licensee’s OpenAI API key remains on the WordPress site and is not sent to REEID GCE by default.
• Cloud Assist mode may send translation content, source language, target language, prompt context, glossary context, editor context, and technical workflow data to REEID Cloud Assist services for processing.
• Cloud Assist cache may store reusable translation results and technical cache keys for the purpose of translation reuse and service operation.
• Cloud Assist cache is not designed to store the Licensee’s OpenAI API key.
• Translation content may be sent to external AI translation providers depending on the selected mode and configuration.
• The Licensee is responsible for ensuring that submitted content is suitable for the selected translation mode and complies with their own privacy, confidentiality, client, legal, and regulatory obligations.

8. Service Limits and Availability

• Cloud Assist, license validation, usage statistics, cache reuse, and connected services may be subject to rate limits, daily limits, fair-use limits, plan limits, or technical availability.
• If a limit is reached, translation requests or status requests may temporarily fail, pause, or require retry after the relevant window resets.
• REEID GCE does not guarantee uninterrupted availability of external services, AI providers, hosting infrastructure, APIs, license servers, WordPress environments, or third-party dependencies.
• REEID GCE may suspend, throttle, or restrict connected service access to protect platform stability, prevent abuse, enforce license limits, or comply with law.

9. Translation Output and User Responsibility

• AI-generated translations may contain errors, omissions, mistranslations, formatting issues, tone issues, terminology issues, or culturally unsuitable wording.
• The Licensee is responsible for reviewing translated content before publishing or relying on it.
• The plugin may include layout protection, builder detection, contamination blocking, glossary support, prompt guidance, and editor-specific safeguards, but these features do not guarantee perfect results.
• The Licensee is responsible for maintaining backups and testing translations before using the plugin on important production content.
• REEID GCE is not responsible for business loss, publishing errors, compliance issues, legal consequences, search ranking changes, customer claims, or damages caused by unreviewed or incorrectly reviewed translated content.

10. Restrictions

Licensee shall not:

• Redistribute, resell, sublicense, rent, lease, lend, share, or transfer the plugin, license key, or access credentials to third parties.
• Use one license on multiple unrelated production sites unless the purchased plan expressly allows it.
• Reverse engineer, decompile, disassemble, or attempt to extract proprietary service logic, except where permitted by applicable law.
• Remove or alter copyright, trademark, attribution, licensing, or ownership notices.
• Circumvent or attempt to circumvent license verification, domain checks, plan limits, usage controls, Cloud Assist limits, or service restrictions.
• Use the plugin or connected services for unlawful, abusive, harmful, infringing, or prohibited content or activity.

11. Fees and Payment

• Licensee must pay the applicable license fee, renewal fee, or plan fee shown at purchase.
• Fees are non-refundable except where required by law or expressly stated in a written refund policy.
• Renewals extend access to updates, support, and eligible connected services for the stated renewal term.
• Third-party costs, including OpenAI or other AI provider charges, are separate from the REEID license fee unless expressly stated otherwise.

12. Term and Termination

• The right to use the already obtained plugin version is perpetual unless terminated under this Agreement.
• Access to updates, support, Cloud Assist, and connected services may expire or be disabled if the license term ends, the license is invalid, usage limits are exceeded, or this Agreement is breached.
• REEID GCE may terminate this Agreement if Licensee materially breaches it and fails to cure the breach within 10 days after notice.
• Upon termination, Licensee must stop using and remove the software from all installations unless continued use is expressly permitted by REEID GCE in writing.
• Termination does not entitle Licensee to a refund except where required by law.

13. Warranty Disclaimer

THE SOFTWARE, DOCUMENTATION, CONNECTED SERVICES, CLOUD ASSIST FEATURES, CACHE FEATURES, AND TRANSLATION WORKFLOWS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, UNINTERRUPTED OPERATION, OR ERROR-FREE TRANSLATION OUTPUT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REEID GCE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, SEARCH RANKING, CUSTOMER CLAIMS, OR USE, EVEN IF ADVISED OF THE POSSIBILITY. IN NO EVENT SHALL REEID GCE’S AGGREGATE LIABILITY EXCEED THE AMOUNT PAID BY LICENSEE FOR THE LICENSE DURING THE TWELVE MONTHS BEFORE THE CLAIM.

15. Export Control and Sanctions

Licensee represents that they are not located in, under the control of, or a national or resident of any country, region, person, or entity subject to applicable embargoes or sanctions, and will not use the software in violation of export control laws, sanctions, or applicable regulations.

16. Governing Law and Dispute Resolution

This Agreement is governed by the laws of Thailand, without regard to conflict-of-laws principles. Any dispute shall be resolved by final and binding arbitration under the Rules of the International Chamber of Commerce (ICC). The seat of arbitration is Bangkok, Thailand, and the proceedings shall be conducted in English.

17. Assignment

Licensee may not assign or transfer this Agreement, the software, or the license key without REEID GCE’s prior written consent. Any unauthorized assignment or transfer is void.

18. Entire Agreement; Severability; No Waiver

This Agreement constitutes the entire agreement regarding the software and supersedes all prior or contemporaneous agreements or communications about the licensed software. If any provision is held unenforceable, the remaining provisions remain in full force. No failure or delay by REEID GCE in exercising any right constitutes a waiver.
